XShop (XIOT) – Training Course License Agreement

1. Introduction

This License Agreement governs the use of downloadable training courses, e-learning modules, and digital materials purchased through XShop (XIOT). By accessing or downloading these materials, you agree to the terms below.

2. License Grant

• XShop grants you a non-exclusive, non-transferable license to use the training materials for personal or organizational learning purposes.
• The license covers downloads, course files, guides, and certification materials provided at purchase.
• Materials may be accessed on multiple devices by the licensed user, but may not be shared outside the licensed organization or individual.

3. Restrictions

You may not:

• Redistribute, resell, or sublicense training materials.
• Copy, modify, or create derivative works without written permission.
• Share downloads publicly (e.g., posting on websites, forums, or social media).
• Use training content for commercial training services without prior agreement.

4. Ownership

• All training content, including text, graphics, videos, and downloadable files, remains the intellectual property of XIOT.
• Purchase grants usage rights only; ownership of the content is not transferred.

5. Updates & Access

• XShop may update training materials periodically to reflect new telematics standards, Ruptela device updates, or compliance changes.
• Customers will receive access to updated versions if included in their license.
• Access to downloads is provided via secure links or account login.

6. Termination

• XShop reserves the right to terminate licenses if materials are misused, redistributed, or used unlawfully.
• Upon termination, customers must delete all copies of the training materials.

7. Warranty Disclaimer

• Training materials are provided “as is” for educational purposes.
• XShop does not guarantee certification outcomes, business results, or compliance unless explicitly stated.
• Technical accuracy is maintained, but customers are responsible for applying knowledge correctly in practice.

8. Limitation of Liability

• XShop is not liable for indirect, incidental, or consequential damages arising from the use of training materials.
• Our liability is limited to the purchase price of the course.

9. Governing Law

This License Agreement is governed by the laws of South Africa. Any disputes will be subject to the jurisdiction of South African courts.
